                        NOTICE OF STOCKHOLDERS' MEETING

Documents have been sent to the holders of the 11% Debenture Stock 2012 and the
63/8% Debenture Stock 2023 of the Company notifying them of a stockholders'
meeting to be held at 10:30 am on 28 November 2002 for the purpose of
considering the appointment of a new Trustee.

The documents are available for inspection in the public document viewing
facility at the UKLA.
