Mission Testing plc ('Mission Testing' or 'the Company')
On 28 August 2001, Mission Testing, the UK's leading software testing solutions
provider, announced that it had acquired Specialist Testing Solutions Limited
('STS'), a private UK based software testing consultancy, for a maximum
consideration of £3.7 million. On completion of the acquisition, £700,000 was
paid in cash and 1,350,000 new ordinary shares in the Company were issued.
Following adjustments to net asset value of STS on acquisition, the deferred
consideration element of this acquisition has now been finalised and will be
satisfied by the issue of 166,188 new ordinary shares of 10p each in the share
capital of Mission Testing (the 'New Shares').
Mission Testing has applied for the New Shares to be admitted to trading on the
Alternative Investment Market. Trading is expected to commence in the New Shares
on 29 May 2002.
