Additional Listing- Amendment

The issuer has made the following amendment to the Additional Listing
announcement released today at 14.39 under RNS No 1819O.

The first sentence of the second paragraph should read 'Accordingly, application
has been made to the London Stock Exchange and to the UK Listing Authority for
these shares to be admitted to the Official List and dealings in the shares will
commence at 8 am on Friday, 21 July 2000' and not 'Accordingly, application has
been made to the London Stock Exchange for these shares to be admitted to the
Official List and dealings in the shares will commence at 8 am on Friday, 21
July 2000 as previously shown. 

All other details remain unchanged.

THE MORGAN CRUCIBLE CO PLC   

Pursuant to the Company's Conversion of 7.5p (net) Cumulative Convertible
Redeemable Third Preference shares of £1 each 12,473 Ordinary Shares of 25p
each have been issued.
Accordingly, application has been made to the London Stock Exchange and to the
UK Listing Authority for these shares to be admitted to the Official List and
dealings in the shares will commence at 8 am on Friday, 21 July 2000.  The
shares rank pari passu with the existing issued Ordinary shares of the
Company.
