                         Appointment of Chief Executive



The Board of Morgan Sindall is pleased to announce that Mr Paul Smith (43) will
be appointed to the Board as Group Chief Executive. This will be effective on 3
March 2003.


Morgan Sindall has operated with a lean executive team since the retirement in
2001 of Andy Stoddart as Managing Director due to serious ill health and Jack
Lovell's move to a non-executive role. The Group has continued to grow and the
additional experience and presence of another executive director is now
required.


John Morgan will continue in his role as Executive Chairman with responsibility
for the overall strategy and direction of the business as it continues to
expand. Paul Smith will manage and run operations on a day-to-day basis. He will
also have principal executive responsibility for the development of the Group's
Divisions. Divisional Managing Directors will report directly to him. He has a
track record of improving business performance across multi-site businesses.
Since 2000 Paul Smith has been Group Managing Director at Accord plc, the
support services company. Prior to that he was Managing Director of Cleanaway
Europe, a subsidiary of Brambles Industries plc and, from 1992 to 1996, was
Managing Director of Rexam Metallising Europe. Mr Smith has also worked as a
manager in the UK and the United States for McKinsey and at BP.


He is an MBA Baker Scholar and Harkness Fellow from Harvard Business School and
has a first class degree in engineering from Cambridge.


John Morgan, Executive Chairman, commented:

our business, he will have fresh perspective and new ideas to drive our
performance. Additionally, he will strengthen the Board both in number and
experience.'
