Completion of acquisition of Pipeline Constructors Group plc
('Pipeline Constructors')
The Board of Morgan Sindall is pleased to announce that it has completed the
acquisition of Pipeline Constructors, a provider of utilities services. The
consideration is £16.45 million, satisfied by a mixture of £9.29 million of
cash and £7.16 million loan notes. The Pipeline Constructor's acquired balance
sheet includes some £0.75 million cash.
This strategic acquisition, which is earnings enhancing in the first financial
year, brings considerable scale to the Group's growing Infrastructure Services
division, Morgan Est. The Board believes that the combination of the two
businesses will provide long term quality earnings flow and create one of the
leading providers in the expanding utilities sector.
