Placing
Following the recent acquisition for cash of Miller Civil Engineering Services
and the proposed purchase of Carillion Housing, the Board has decided that it
is appropriate to strengthen the Company's balance sheet. Accordingly it has
placed with institutional investors 1,892,711 new ordinary shares of 5p each
at 450p per share representing approximately 5.0 per cent. of its current
issued share capital, under the authority granted by shareholders at the last
AGM. The net proceeds of this placing, which is conditional on listing
becoming effective, are expected to be approximately £8.36 million.
Application has been made for the new ordinary shares, which will rank pari
passu in all respects with the existing ordinary shares, to be admitted to the
Official List of the UK Listing Authority and to be admitted to trading on the
London Stock Exchange. It is expected that listing will become effective and
that trading will commence on 11 June 2001.
