Notification of Transactions by Directors' and Persons Discharging Managerial
Responsibility
Awards under the Morgan Sindall Executive Remuneration Plan
On 5 April 2006, directors and persons discharging managerial responsibility ('
PDMRs) of the Company were granted options and/or conditional share awards over
ordinary shares of 5p each in the capital of the Company ('shares') under the
Morgan Sindall Executive Remuneration Plan 2005 (the 'Plan'). Under the Plan,
which was approved on 12 April 2005, the directors and PDMRs were allowed to
choose between receiving either conditional share awards or options or a mixture
of both.
Details of the directors and PDMRs and the number of shares under option and/or
conditional share awards granted to them under the Plan are set out below:

The exercise price for the above options is £12.59 per ordinary share. Subject
to the satisfaction of an earnings per share performance condition, options are
normally exercisable for a period of 7 years from 5 April 2009. No
consideration was paid for the grant of the options.
Conditional share awards do not have an exercise price and will normally vest on
5 April 2009 being the third anniversary of the date of grant, subject to
continued employment with the Company and the satisfaction of an earnings per
share performance condition. No consideration was paid for the grant of the
awards.
Share award to Paul Smith
In recognition of the record results achieved and the outstanding performance of
the Company in 2005, Paul Smith was granted a deferred share award of 20,000
shares. The deferred share awards do not have an exercise price and will
normally vest on 5 April 2008 being the second anniversary of the date of grant,
subject to continued employment with the Company. No consideration was paid for
the grant of the award.
Following the granting of the above options and conditional share awards under
the Plan and the deferred share award, these directors and PDMRs maintain the
following beneficial interests in the issued share capital of the Company, the
following number of shares under option and the following conditional share
awards:

In respect of those persons who are directors of the Company, this notification
relates to transactions notified in accordance with both Disclosure Rule 3.1.4R
(1) (a) and Disclosure Rule 3.1.4R (1) (b) and for the remainder it relates to
transactions notified in accordance with Disclosure Rule 3.1.4R (1) (a).
