                       Sale of Dales Manor Business Park

 Morgan Sindall has exchanged contracts with a joint venture between Helical Bar
plc and Dencora Estates Limited for the sale of Dales Manor Business Park (
'Dales Manor' ), a mixed freehold and leasehold industrial estate situated in
Sawston, Cambridge. During the year ended 31 December 2002 the Group earned
£870k of net rental income from this asset.



The sale proceeds of £10m will be satisfied in cash and will be used to reduce
borrowings.



Completion is expected to be in one month.
