Placing of shares and
dealings by director
The Company is pleased to announce a placing by Williams de Broe of 7,812,500
ordinary shares of the Company at 16p per share. The Placing comprises a placing
of 6,458,100 new ordinary shares and 1,345,400 existing issued ordinary shares
derived from the exercise of certain warrants as referred to below (together,
the 'Placing Shares') and will result in approximately £1.25m gross of expenses
being raised by the Company. These ordinary shares represent 7.7% of the issued
share capital of the Company.
The Company also announces that its Chairman and Managing Director, Vincent
Caldwell, has exercised warrants over 1,805,867 ordinary shares of the Company
at 12p per share of which the 1,354,400 issued ordinary shares (referred to
above) have been placed at 16p per share, amounting to £216,704 and forming part
of the total of 7,812,500 ordinary shares placed by Williams de Broe Plc.
The remainder of the ordinary shares, resulting from the exercise of Vincent
Caldwell's warrants and which have not been placed, together with the current
shareholdings of the directors, Martin Caldwell, Jennifer Caldwell and Mill
Properties Limited, are subject to a lock-in arrangement until 31 December 2002
pursuant to the terms of the placing agreement and separate lock-in deeds
respectively.
Further to these transactions, Vincent Caldwell is now beneficially interested
in 15,864,967 ordinary shares in betinternet.com, which represents 15.7% of the
issued ordinary share capital.
Application has been made to admit a total of 8,263,967 ordinary shares (being
the Placing Shares and the ordinary shares retained by Vincent Caldwell on
exercise of the 1,805,867 warrants held by him), which will rank pari passu with
the Company's existing shares, to trading on AIM and it is expected that
dealings in the new Ordinary Shares will commence on 21 May 2002.
In addition to the above arrangement, the Company has issued warrants to
Williams de Broe Plc over 312,500 ordinary shares with an exercise price of 16p,
to be exercised by no later than five years from the date of admission of the
Placing Shares to trading on AIM.
The net proceeds of the placing will mainly be used to enhance further existing
systems and undertake targeted marketing for the World Cup and the 2002/2003
soccer season, to provide the Company with further cash cover to cater for the
expected increase in activity expected from the World Cup. Funds will also be
used to develop further Euro Off-Track (50% owned by betinternet.com plc).
