Re: Annual Report and Financial Statements, Circular and Notice of Meeting

Mothercare plc (the 'Company') today posted its 2006 annual report and financial
statements ('Annual Report and Financial Statements') to shareholders along-with
a circular ('Circular'), and notice of the Annual General Meeting, setting out
details of the special business to be proposed at the Annual General Meeting,
including the adoption of new articles of association of the Company.

The Annual General Meeting to which the notice relates is to be held at the
Hilton National Hotel, Elton Way, Watford, Hertfordshire WD25 8HA on 20 July
2006 at 10.30 a.m.

Two copies of the Annual Report and Financial Statements, the Circular and the
proposed new articles of association have been submitted to the UK Listing
Authority and will shortly be available for inspection at the UK Listing
Authority's Document Viewing Facility, which is situated at Financial Services
Authority, 25 The North Colonnade, London E14 5HS. Each of these documents will
also be available on the Company's website at www.mothercare.com.
