MOTHERCARE PLC DIRECTOR PDMR SHAREHOLDINGS
During the three year performance period to 31 March 2010, Mothercare's total
shareholder return outperformed the FTSE General Retailers index by 120% and its
underlying profit before interest and tax increased by 64.6%.
Mothercare plc therefore announces the issue of options under the three-year
Executive Incentive Scheme (EIP) awards, 2007 cycle. The scheme was approved by
the shareholders in July 2006. Full detail in respect of the operation of the
scheme is set out in the Mothercare plc Annual Report and Accounts, 2010.
Executive Incentive Plan
Under the rules of the Executive Incentive Plan for this award, the award can be
paid in full in cash, or up to 50% paid in nil cost share options. The
Remuneration Committee has determined that the maximum 50% will be paid in nil
cash share options, as listed below. These share options will be exercisable by
each of the participants with effect from 19 July 2011.
