Mothercare plc were granted options to acquire Mothercare plc ordinary 50p
shares under the Mothercare plc 2000 share option plan.

Options may be exercised by the directors during the period from 31 May 2004
until 31 May 2011. The option exercise price is 300p per share.

RE: Director Shareholding Change: Alan Smith



On 8 June 2001, Alan Smith became beneficially entitled to 143,182 ordinary
50p shares in Mothercare plc and has notified the company. The shares were
distributed from the Mothercare Employee Trust. Furthermore, 95,455 Mothercare
plc ordinary shares have been disposed of by the Mothercare Employee Trust on
Mr Smith's behalf to meet income tax liabilities.

Alan Smith's interest in Mothercare plc ordinary 50p shares amounts to 220,261
shares comprising 0.31% of the company's issued share capital.
