Director and PDMR Shareholding

Mothercare plc today announces that the following directors, non-executive directors and PDMRs and/or their connected persons, have taken up, in full, their entitlement to acquire shares under the Rights Issue approved by shareholders on 9 October 2014 as set out in the table below.  Under the Rights Issue qualifying shareholders had the right to acquire 9 new ordinary shares for every 10 existing ordinary shares held at the close of business on 7 October 2014 at a price of 125p per ordinary share.

*16,200 rights were taken up by Mr Rivers and 9,900 rights were taken up by the Richard Rivers Trust of which Mr Rivers is a trustee but not a beneficiary.  Mr Rivers is entitled to vote.

**3851 rights were taken up by Mr Cull's spouse, a connected person and Mr Cull's total includes his connected person's shareholding.

Voting rights are calculated on the issued share capital of 168,767,065 ordinary shares of 50p each following the Rights Issue.

This announcement is made in accordance with DTR 3.1.4R and relates to transactions notified to Mothercare plc in accordance with DTR 3.1.2R.

In order to reflect the mathematical impact of the Rights Issue on options and conditional awards already granted to directors and PDMRs, such options and conditional awards are being adjusted in accordance with the scheme rules.
