MOUNTVIEW ESTATES PLC ('MOUNTVIEW' OR 'THE COMPANY')

Director's and Substantial Shareholdings

Mountview has been notified that Mr. D.M. Sinclair (Chairman) sold 2,700
ordinary shares of 5p each in the Company at a price of £40.75 per share today
and, at the same price, 2,700 shares have been bought by The Frank & Daphne
Sinclair Grandchildren Settlement. Mr D.M. Sinclair's resulting revised holding
of Mountview ordinary shares is set out below:

Beneficial (including those of wife)

Previous:         461,336         (11.83%)
Sold:             2,700
New:              458,636         (11.76%)


Mr Sinclair's non-beneficial holding in the Company remains unchanged.
