                            Directors' Shareholdings


The following replaces the Directors' Shareholding announcement released today
at 2.08pm under RNS number 9534R.

The Percentage of issued share capital now held by Moni Borovitz should read
0.20% and not 0.02% as previously stated. All other details remain the same. The
full correct version of the announcement appears below.


The Company has been notified that Zvi Borovitz (non-executive chairman of the
Company), Moni Borovitz (finance director of the Company) and Dov Feiner (chief
executive officer of the Company) today sold 873,000, 127,000 and 400,000
ordinary shares of NIS 0.01 each in the Company at 53 pence each respectively.

The resultant personal holdings of the above directors are outlined in the table
below. In addition, each of these directors holds indirect interests in the
Company as shown in the notes to the table.

(1)      Zvi Borovitz has an interest in 25 per cent. of Mokirei Aya Ltd. which
         controls 39.1 per cent. of the issued share capital of MTI Computers
         which has an interest in 47.7 per cent. of the issued share capital of 
         the Company.

(2)      Moni Borovitz has an interest in 25 per cent. of Mokirei Aya Ltd. which 
         controls 39.1 per cent. of the issued share capital of MTI Computers
         which has an interest in 47.7 per cent. of the issued share capital of 
         the Company.

(3)      Dov Feiner holds 396,372 shares in MTI Computers representing 3.5 per 
         cent of the issued share capital of MTI Computers. MTI Computers has an 
         interest in 47.7 per cent. of the issued share capital of the Company.
