Update on the Retail Offer

 

On 30 September 2024, Mulberry Group plc (AIM: MUL) (the "Company" or "Mulberry") announced the full terms of a conditional retail offer open to eligible Mulberry shareholders for up to 750,000 new ordinary shares of 5 pence each in the capital of the Company (the "Retail Offer Shares") at a price of 100 pence per Retail Share (the "Issue Price") via RetailBook (the "Retail Offer").

Mulberry today announces that the Retail Offer closed at 4.30 p.m. on 4 October 2024 and that valid applications under the Retail Offer were received for 392,013 Retail Offer Shares.

Application has been made for the 392,013 Retail Shares issued pursuant to the Retail Offer to be admitted to trading on the AIM Market of London Stock Exchange plc ("AIM") ("Admission"). Admission is expected to take place at 8.00 a.m. on 9 October 2024.

The Retail Offer, together with the previously announced subscriptions of new shares by Challice Limited and Frasers Group plc, has raised gross proceeds of approximately £10.4 million.

In accordance with the Financial Conduct Authority's Disclosure Guidance and Transparency Rules (the "DTRs"), following Admission, Mulberry's issued share capital will be 70,469,471 Ordinary Shares. Accordingly, the total number of voting rights in Mulberry will be 70,469,471 Ordinary Shares. This figure may be used by the Company's shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of interest in, Mulberry under the DTRs.

Dealing disclosure requirements of the City Code on Takeovers and Mergers (the "Code"):

 

Under Rule 8.3(a) of the Code, any person who is interested in 1 per cent. or more of any class of relevant securities of an offeree company or of any paper offeror (being any offeror other than an offeror in respect of which it has been announced that its offer is, or is likely to be, solely in cash) must make an Opening Position Disclosure following the commencement of the offer period and, if later, following the announcement in which any securities exchange offeror is first identified.

 

An Opening Position Disclosure must contain details of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any securities exchange offeror(s). An Opening Position Disclosure by a person to whom Rule 8.3(a) of the Code applies must be made by no later than 3.30 p.m. (London time) on the 10th business day following the commencement of the offer period and, if appropriate, by no later than 3.30 p.m. (London time) on the 10th business day following the announcement in which any securities exchange offeror is first identified.
