Capitalisation Issue of B Ordinary Shares
In accordance with the terms of the Articles of Association of the Company and
conditional upon the passing of resolution 7 at the Annual General Meeting on 22
April 2008 (approval of final dividend), the Directors have resolved to make a
bonus issue of B Ordinary shares which corresponds to the proposed final
dividend of 8.1p per Ordinary share, announced on 27 February 2008.
The Company will capitalise a sum of £3,066 being part of the sum standing at
credit of the realised gains reserve and the Directors will issue 1.11788 new B
Ordinary shares credited as fully paid for every 100 B Ordinary shares held at
close of business on the record date of 4 April 2008 (resulting in the issue of
12,264 new B Ordinary shares). Definitive certificates in respect of the new B
Ordinary shares arising from the capitalisation will be posted on 16 May 2008 to
holders of B Ordinary shares on the record date.
