Evolutec Group plc (the 'Company')
Award of performance related shares to Directors
The Company announces that Mark Carnegie Brown, Chief Executive, and Nicholas
Badman, Chief Financial Officer, received awards on 19 September 2006 under the
terms of the Company's 2005 Share Performance Plan (the 'Plan').
Under the terms of the Plan, awards have been granted to them over ordinary
shares of the Company subject to satisfaction of specified performance criteria
(the 'Performance Shares'). The Performance Shares will vest three years
from the date of the award, subject to satisfaction of the relevant conditions
and in accordance with the rules of the Plan.
Mark Carnegie Brown was awarded 251,046 Performance Shares. Following this
award, Mark Carnegie Brown holds options and performance related share awards
over 797,271 ordinary shares, representing approximately 3.4 per cent. of the
issued share capital of the Company.
Nicholas Badman was awarded 150,628 Performance Shares. Following this award
Nicholas Badman holds options and performance related share awards over 577,987
ordinary shares, representing approximately 2.5 per cent. of the issued share
capital of the Company.
