Notification of Changes in Directors' Interests

National Grid notifies the following changes to Directors'
beneficial interests in NGG Ordinary Shares, following operation
of the National Grid Executive Share Option Plan.
The Company is confirming to participants, including the
following directors, that they have been granted options under
the Executive Share Option Scheme effective as of 18 June 2001 to
subscribe for Ordinary shares at an exercise price of 563p and
exercisable, subject to agreed performance criteria, during the
period of seven years from 18 June 2004. There was no payment for
the grants of options.
Options granted:
1. Mr Stephen Box. 93,250
2. Mr Steven Holliday. 71,936
3. Mr Richard Sergel. 134,321
4. Dr Roger Urwin. 133,214
The total share interests of the above directors, following these
changes, are:
1. Mr Stephen Box. 458,797
2. Mr Steven Holliday 221,936
3. Mr Richard Sergel. 337,545
4. Dr Roger Urwin. 615,520
