Notification of Changes in Directors' Interests

NGG notifies the following changes to Directors' beneficial
interests in NGG Ordinary Shares, following operation of the
National Grid Executive Share Option Plan. 

The Company is confirming to participants, including the
following directors, that they have been granted options under
the Executive Share Option Scheme effective as of 5 June 2000 to
subscribe for Ordinary shares at an exercise price of 531.5p and
exercisable, subject to agreed performance criteria, during the
period of seven years from 5 June 2003. There was no payment for
the grants of options.

Options granted:

1.       Mr Stephen Box. 37,630       

2.       Mr Wolbert Gerretsen. 30,102 

3.       Mr David Jones. 67,730

4.       Dr Roger Urwin. 33,867 

The total share interests of the above directors, following these
changes, are:

2.       Mr Wolbert Gerretsen. 308,052

3.       Mr David Jones. 630,071
