       PLACING OF ENERGIS SHARES - PARTIAL EXERCISE OF GREENSHOE
                                   
Further to the announcement on 9 February 2000, The National Grid
Group plc ('National Grid') announces that ABN AMRO Rothschild has
exercised part of the over-allotment option ('greenshoe') of up to
3,000,000 Ordinary Shares of Energis plc ('Energis Shares') granted to
it by National Grid in connection with its placing of Energis Shares.
The greenshoe has been exercised over 1,893,706 Energis Shares,
raising approximately a further £64 million.  This makes the total
gross proceeds from the placing approximately £977 million.
