Posting of circular on Niagara Mohawk acquisition to National Grid
shareholders

National Grid Group plc announces that a circular in respect of its proposed
acquisition  of  Niagara  Mohawk  Holdings,  Inc.  is  being  posted  to  its
shareholders today. The circular contains a notice convening an Extraordinary
General  Meeting  on  Monday 29 January 2001 at which a resolution will be
proposed to approve the acquisition.
