PUBLICATION OF PROSPECTUS
Further to the announcement by the Company on 20 May 2010 concerning the Rights Issue to raise net proceeds of approximately £3.2 billion, the UK Listing Authority ("UKLA") has approved a prospectus (the "Prospectus") dated 25 May 2010.
Further details of the Rights Issue is set out in the Prospectus which is available on National Grid plc's website at

and will be sent to shareholders who request a copy provided, subject to certain exceptions, they are persons outside the United States and the Excluded or Restricted Territories.
