Updated Total Voting Rights and Directors' Interests

following National Grid plc rights issue (the "Rights Issue")

 

 

On 20th May 2010, National Grid plc (the' Company') announced the Rights Issue of 2 new ordinary shares for every 5 ordinary shares held as at the close of business on 19th May 2010 at 335 pence per share.

 

National Grid plc's registered share capital following the Rights Issue consists of 3,607,629,112 ordinary shares with a nominal value of 11 17/43 pence each, of which 140,972,220 have been purchased in the market and registered as treasury shares; leaving a balance of 3,466,656,892 ordinary shares with voting rights.

 

The figure of 3,466,656,892 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of National Grid plc under the FSA's Disclosure and Transparency Rules.

 

The Directors' interests in ordinary shares following their participation in the Rights Issue is as follows:

For information, options and conditional awards of shares granted to Executive Directors and other employees under the National Grid plc employee share plans will be adjusted in accordance with the rules of each plan to compensate for the effect of the Rights Issue.

 

Note: Mark Fairbairn has advised the company that, in accordance with DTR3.1.2 and Section 253 Companies Act 2006; his total interest includes a further 67,396 shares held by his partner.

Nick Winser has advised the company that, in accordance with DTR3.1.2 and Section 253 Companies Act 2006; his total interest includes a further 116,925  shares held by his spouse.

Steve Lucas has advised the company that, in accordance with DTR3.1.2 and Section 253 Companies Act 2006; his total interest includes a further 14 shares held by his spouse.
