National Grid plc (NG.) - Voting Rights and Capital

In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:

National Grid plc's capital as of today's date and 31 December 2006 consists of
2,718,173,307 ordinary shares with voting rights.

The figure of 2,718,173,307 may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, National Grid plc under the
FSA's Disclosure and Transparency Rules.
