The Royal Bank of Scotland Group plc (the 'Company')

The Royal Bank of Scotland Group announces that it has applied to the London
Stock Exchange and the UK Listing Authority for new block listings of the
Company's ordinary shares of 25p to be issued as detailed:

20,000,000 in respect of The Royal Bank of Scotland Group plc Sharesave
Schemes;

5,000,000 in respect of The Royal Bank of Scotland Group plc Executive Share
Option Schemes;

23,000,000 in respect of the NatWest Sharesave Schemes; and

5,000,000 in respect of the NatWest Executive Share Option Schemes.

These new shares rank pari passu in all respects with the existing ordinary
shares of the Company. Application has been made for the new shares to be
admitted to the Official List and approval of the block listing applications
is expected on 24 May 2001.
