              Notification of Director / PDMR Interests' in Shares


The Company was advised on 1 May 2008 by the Trustee of the Northumbrian Water
Group plc Share Incentive Plan (the "Plan") that on 1 May 2008 it purchased 457
Ordinary 10 pence shares in the Company ("Ordinary shares") at £3.28 per share
on behalf of each of John Cuthbert (Director), Chris Green (Director) and Ceri
Jones (PDMR).


In addition, pursuant to the rules of the Plan, Mr Cuthbert, Mr Green and Mr
Jones were each granted a further 152 Ordinary shares for nil consideration.


Following these purchases and grants Mr Cuthbert has an interest in 169,677
Ordinary shares, Mr Green has an interest in 112,650 Ordinary shares and Mr
Jones has an interest in 27,329 Ordinary shares, representing approximately
0.03%, 0.02%, 0.005% of the issued Ordinary share capital of the Company
respectively.
