                 Notification of Directors' Interests in Shares

The Company was advised on 4 May 2005 by the trustee of the Northumbrian Water
Group plc Share Incentive Plan (the Plan) that on 3 May 2005 John Cuthbert and
Chris Green each purchased 798 ordinary 10 pence shares at a price of 188 pence
per share. In addition, pursuant to the rules of the Plan Mr Cuthbert and Mr
Green were each granted a further 266 ordinary 10 pence shares for nil
consideration. Following these purchases and grants Mr Cuthbert has an interest
in 102,780 ordinary Shares and Mr Green has an interest in 67,780 ordinary
Shares, representing approximately 0.020% and 0.013% of the issued ordinary
share capital of the Company respectively.
