                Holding in Company and Resignation of Directors


In accordance with Sections 198 to 202 of the Companies Act 1985, Northumbrian
Water Group plc (the Company) was notified on 28 April 2005 by Suez Environment
UK Limited (SEUK) that as of 28 April 2005 it had sold its 25% shareholding in
the Company (representing 129,655,961 shares in the Company). As a result of
this disposal SEUK no longer has a notifiable interest in the ordinary shares of
the Company.


Following the disposal of this shareholding, the Company has received the
resignations of SEUK's nominated directors, Bernard Guirkinger and Christophe
Cros, with effect from 28 April 2005.


Bernard Guirkinger and Christophe Cros have also resigned as directors of
Northumbrian Water Limited with effect from the same date.
