Articles of Incorporation

The board of directors (the "Board") of NB Distressed Debt Investment Fund Limited (the "Company") today announces that as per those special resolutions of the Class A ordinary shares of US$1.00 par value each in the Company, dated 4th March 2013, a new set of Articles of Incorporation (the " New Articles") has been approved and adopted by the Company.

A copy of the New Articles is available for inspection at the registered office of the Company during normal business hours on any weekday (Saturdays and Public Holidays Excepted).
