NCC Group plc (NCC) has advised that on 2nd October 2007 Robert Francis Charles
Cotton and Paul Edwards directors of NCC Group plc were granted 102,839 and
44,992 shares respectively pursuant to the options awarded to them under the
Company's Long Term Incentive Plan. On the same day Mr Cotton sold 42,290 shares
and Mr Edwards sold 18,502 shares to satisfy the costs of the exercise of their
options and the income tax and national insurance liabilities immediately
arising on the acquisition of these shares.
As a result of the exercise of their respective options, the directors are net
acquirers of shares and Mr Cotton's shareholding in NCC Group plc has now
increased from 1,879,003 to 1,939,552 and Mr Edwards' shareholding in NCC Group
plc has increased from 276,645 to 303,135.
