Total Voting Rights


In conformity with the Transparency Directive's transitional provision 6, NCC
Group plc (the 'Company') is required to notify the market of the following:


At the date of this announcement, the Company's capital consists of 32,613,969
ordinary shares of  one pence each, with voting rights.


The Company does not hold any shares in Treasury.


The above figure (32,613,969) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in the Company under the FSA's
Disclosure and Transparency Rules.
