NMT Group Plc received the following notice from The Equitable Life Assurance
Society today
'Sections 198-202 Companies Act 1985 amended by Sections 134(1) to (3) of the
Companies Act 1989.
Change in declaration obligation following transfer of shares from the
beneficial ownership of an Equitable Unit Trust (Formerly owned by HSBC Bank
Plc as Trustees) to a fund of an Open Ended Investment Company (A wholly owned
subsidiary of Equitable Investment Fund Managers Limited, which In turn is a
wholly owned subsidiary of The Equitable Life Assurance Society)
We hereby notify you that, as a consequence of the transfer shares in your
company on 3rd November 2000, from an 'Equitable Unit Trust' to an 'Open Ended
Investment Company', as described above, we are obliged to notify you under
the provisions of the Companies Acts in respect of the change in our Group
declarable holding.
Shares Transferred 2,000,000 from Equitable Special Situations Trust to
Equitable Special Situations Fund to be registered as HSBC Global Custody
Nominee (UK) Limited A/C 888570.'

The Equitable Life Assurance Society 8,175,011
Equitable Special Situations Fund 2,000,000
Total Holding 10,175,011
