Network International Holdings Plc (LSE: NETW) (the "Company"), the leading enabler of digital commerce across the Middle East and Africa (MEA), announces the appointments of Diane Radley and Monique Shivanandan to its Board of Directors. Both will join as Independent Non-Executive Directors, effective 1st January 2021.

Diane Radley
Diane Radley joins the Company with extensive experience of the African market and board experience, having held several non-executive and executive roles at major South African businesses. She specialises in finance, audit & risk related matters following several years leading the Transaction Services Group at PwC South Africa. Diane is experienced across due diligence and valuations, particularly working with private equity funds, investment banks, strategic buyers, and corporate acquirers. She is also a chartered accountant and graduate of the Harvard Business School's Advanced Management Programme.
Diane currently serves as a Non-Executive Director on the following publicly quoted companies: Transaction Capital Limited (JSE), Murray and Roberts Holdings Limited (JSE), Base Resources Limited (ASX) and Redefine Properties Limited (JSE). Before taking on non-executive roles, Diane was Chief Executive Officer at Old Mutual Investment Group from 2011 to 2016 having held the position of Group Finance Director from 2008.
Following her appointment, Diane will join the Board's Audit & Risk Committee and Remuneration Committee.
Monique Shivanandan
Monique Shivanandan is a recognized technology leader with over 30 years of experience working for large global companies within the Telecommunications, Banking and Insurance sectors. Monique was most recently Group Chief Information Officer at Chubb leading a team of over 5,000 employees globally, delivering change, and service & information security. She has acted as a technology leader and digital transformation advisor, holding senior roles at Aviva, BT Group and Capital One Financial.
Monique currently serves as a Non-Executive Director for JP Morgan Securities in the UK.
Following her appointment, Monique will join the Board's Audit & Risk Committee.
There are no further matters to be disclosed in accordance with paragraph LR 9.6.13 R of FCA's Listing Rules.
CHANGES TO THE BOARD COMMITTEES
Separately, and in accordance with the requirements of Listing Rule 9.6.11(R), Company announces the following changes to the composition of its Board Committees:
Audit & Risk Committee
Victoria Hull and Ali Mazanderani will step down as members of the Audit & Risk Committee with effect from 1st January 2021.
Following these changes, the membership of each of these committees will be as follows with effect from 1st January 2021:
Audit & Risk Committee: Darren Pope (Chair), Anil Dua, Diane Radley and Monique Shivanandan.
Remuneration Committee: Victoria Hull (Chair), Ron Kalifa, Ali Mazanderani and Diane Radley.
