Director's Shareholding

In accordance with Section 324 of the Companies Act 1985, as amended, the
Company has been notified today that on 15 October 2002 Maurice Dwek, Chairman,
purchased 250,000 ordinary shares of 1p each in the capital of the Company at
1.18p per share and 250,000 ordinary shares at 1.25p per share. Maurice Dwek is
now beneficially interested in 15,575,000 ordinary shares representing 6.8 per
cent. of the enlarged issued share capital of Newmark (assuming full acceptance
of  Newmark's all share offer for Vema N.V).
