Newmark Technology Group PLC 19 April 2001 NEWMARK TECHNOLOGY GROUP PLC DISPOSAL The Board is pleased to announce that 72 million global depository receipts ('GDRs'), representing 49 per cent. of its previously wholly owned subsidiary, Vema N V ('Vema') are expected to be admitted to trading on the Alternative Investment Market of the London Stock Exchange plc on 17 May 2001. The GDRs are being issued by the placing of 30 million with institutional and other investors, and by the offer of 42 million to qualifying shareholders of Newmark Technology Group PLC ('Newmark'). Both the placing and the offer for subscription have been fully underwritten by Vema's brokers, Seymour Pierce Ellis. The placing and offer for subscription will be the first to use GDRs for a quotation on AIM. Vema is a Dutch company with a wholly owned Belgian subsidiary, Vema Belgie B.V.B.A. Vema supplies an extensive range of sophisticated electronic and electromechanical locking systems, supported by a high degree of sales and service support. Vema sells these products to a wide range of customers for use in low to high security installations, including banks, prisons, hospitals, museums and government offices. Vema's profit after tax was £375,000 (audited) for the year ended 30 April 2000 and £140,000 (unaudited) for the six months ended 31 October 2000. Vema had net assets of £968,000 (audited) as at 30 April 2000 and £1.1 million (unaudited) as at 31 October 2000. The Vema business was acquired by Newmark in November 1997 at a cost of £4.2 million. The flotation places a value on Vema of £5.8 million. Newmark will receive £2.88 million proceeds from the flotation which will be used to develop the other businesses in the Newmark Group. In addition, the Board will consider buying back some of the Company's shares and it is intended that appropriate authorities will be sought at the next annual general meeting. Newmark will retain a 51 per cent. interest in Vema and will continue to consolidate its results in the future.
