NewRiver Retail Limited (AIM: NRR), the UK REIT specialising in value-creating retail property investment, active asset management and development, announces that on 16 December 2015 the following directors exercised options and sold ordinary shares of no par value in the Company as detailed below:

Sale of Shares by Paul Roy
In addition to the exercise of his options and the sale of the resulting ordinary shares of no par value as notified above, Paul Roy sold an additional 130,000 ordinary shares of no par value at a price of £3.45482 per share.
All shares were sold on the London Stock Exchange.

Total Voting Rights
Following the exercise of options and the transfer of shares from the Company's Employee Benefit Trust, the Company holds 220,247 ordinary shares of no par value in the Company's Employee Benefit Trust ("EBT"). As the EBT is consolidated, these shares are treated as treasury shares. The Company's issued share capital remains unchanged at 187,313,809 ordinary shares of no par value.
Accordingly, the total number of voting rights in the Company is 187,093,562. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
