Exercise of Warrants & Total Voting Rights
The Company has received notice to exercise warrants over 132,101 ordinary shares of no par value ("Ordinary Shares") from Huntress (CI) Nominees Limited A/C KGCLT, at an exercise price of 172 pence per Ordinary Share. Accordingly, the Company has applied to the London Stock Exchange for the 132,101 Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will occur at 8.00am on 16 June 2014. The Ordinary Shares will rank pari passu with the existing ordinary shares in the Company.
Following the exercise, NewRiver's share capital will consist of 100,186,548 ordinary shares of no par value, of which 624,000 ordinary shares are held in treasury. The total number of voting rights in the share capital of the Company, excluding treasury shares, is therefore 99,562,548.
The above figure (99,562,548) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
Following the exercise, the total warrants outstanding currently have rights to subscribe for 681,128 shares.
