Results of General Meeting - Proposed Disposal of Hawthorn Leisure REIT Limited

On 28 July 2021, NewRiver published its shareholder circular (the "Circular") containing a notice of General Meeting in connection with the proposed sale of the entire issued share capital of Hawthorn Leisure REIT Limited ("Hawthorn"), the entity in the Group that holds, either directly or indirectly through its wholly-owned subsidiaries, NewRiver's entire community pub business (the "Disposal"), to AT Brady Bidco Limited for an expected gross aggregate cash consideration of approximately £222.3 million.

At the General Meeting held earlier today, the ordinary resolution to approve the Disposal was duly passed and the results of the votes are as follows:

Notes:

*  As at the date of the General Meeting, the total number of shares with voting rights in the Company is 306,300,152. This excludes 2,625,006 shares in the Employee Benefit Trust.

** A "vote withheld" is not a vote in law and is not counted in the calculation of the votes for and against a resolution.

Completion of the Disposal is expected at 11:00 am on 20 August 2021. A further announcement will be made immediately following Completion.

Capitalised terms used in this announcement have the meanings given to them in the Circular, which is available on the Company's website at   https://www.nrr.co.uk . 

A copy of the resolution passed will be shortly submitted to the National Storage Mechanism of the FCA and available for inspection at  https://data.fca.org.uk/#/nsm/nationalstoragemechanism .
