PROPOSED CAPITAL RECONSTRUCTION OF NEXT PLC ('NEXT')
RESULTS OF COURT MEETING AND EXTRAORDINARY GENERAL MEETING
The Board of NEXT is pleased to announce that, at the Court Meeting and the
subsequent Extraordinary General Meeting of NEXT shareholders held earlier
today, the resolutions to approve the capital reconstruction of NEXT by way of a
scheme of arrangement under section 425 of the Companies Act 1985 (the 'Scheme')
to introduce a new listed holding company, NEXT Group Plc, were duly passed.
Details of the resolutions are set out in the notices of the meetings contained
in the circular posted to NEXT shareholders on 7 October 2002.
The results of the poll conducted in respect of the resolution proposed at the
Court Meeting in respect of the NEXT shareholders present and voting, either in
person or by proxy, were as follows:
Voted in favour of the resolution - 2,326 holders (97.0% of those voting)
representing 159,045,891 NEXT shares (99.8% of those voted)
Voted against the resolution - 73 holders (3.0% of those voting) representing
347,725 NEXT shares (0.2% of those voted)
The resolution was accordingly passed.
The results of the poll conducted in respect of the resolution proposed at the
Extraordinary General Meeting in respect of the NEXT shareholders present and
voting, either in person or by proxy, were as follows:
Voted in favour of the resolution - 164,710,628 NEXT shares (99.9% of those
voted)
Voted against the resolution - 136,392 NEXT shares (0.1% of those voted)
The resolution was accordingly passed.
The Scheme remains subject to the sanction of the High Court of Justice in
England and Wales at a hearing expected to be held on 20 November 2002. Subject
to the sanction of the Court, the Scheme is expected to become effective on 22
November 2002 and the issued ordinary share capital of NEXT Group Plc is
expected to be admitted to the Official List and to trading on the London Stock
Exchange's market for listed securities at 8.00 a.m. on 25 November 2002.
A further announcement will be made following the Court hearing.
