Dividend Declaration
On 4 September 2018, Taptica (AIM: TAP), a global end-to-end mobile advertising platform for advertising agencies and brands, announced its interim results and declared a dividend of $0.0398 per ordinary share out of the Company's net profits for the six months ended 30 June 2018, with an ex-dividend date of 20 September 2018, a record date of 21 September 2018 and a payment date of 20 November 2018.
Tax Trustee
In accordance with the requirements of the Israel Tax Authority (the "ITA"), dividend payments are generally subject to a 25% withholding tax rate, or 20% in case the dividends are sourced from a "Preferred Enterprise" under the Israeli Tax Ordinance, such as in the case of Taptica. Shareholders or holders of depositary interests in respect of ordinary shares in the Company who are residents of a country with a tax treaty with Israel, such as the UK, may be eligible to benefit from a reduced withholding tax rate ("Eligible Shareholders").
To assist Eligible Shareholders in obtaining a reduced withholding tax rate, the Company has obtained a special tax ruling from the ITA (the "Tax Ruling") to enable IBI Trust Management, in its role as the Company's tax trustee (the "Tax Trustee"), to manage the dividend tax withholding process and assist Eligible Shareholders in timely obtaining a reduced withholding tax rate.
Dividend Payment Process; Reduced Withholding Tax Rate
In accordance with the Tax Ruling, on 20 November 2018, the dividend payment date, the Company shall deduct at source 20% of the gross amount of the dividend, and transfer such amount to the Tax Trustee. The remaining balance of the dividend shall be paid to the shareholders or the holders of depositary interests through Link Assets Services and/or the relevant broker.
Thereafter, any Eligible Shareholder may apply to the Tax Trustee until 15 December 2018 (the "Application Deadline"), to apply for a reduced withholding tax rate by delivering to the Tax Trustee specified tax residency and banking documentation (the "Application"). In accordance with the Tax Ruling, following the Application Deadline, the Tax Trustee shall review the Applications and refund to Eligible Shareholders, which submitted approved and complete Applications by the Application Deadline, any excess tax withheld in accordance with any applicable reduced withholding tax rate. Following the repayments of such refunds, the Tax Trustee shall remit all remaining funds to the ITA.
