Rule 19.6(c) confirmation with respect to stated post-offer intentions with regard to RhythmOne Plc
On 1 April 2019, the recommended offer by the Company for the entire issued and to be issued ordinary share capital of RhythmOne plc ("RhythmOne"), which was effected by way of a scheme of arrangement under Part 26 of the Companies Act 2006, completed. The announcement by the Company pursuant to Rule 2.7 of the Code on 4 February 2019 and the subsequent scheme document dated 25 February 2019 included statements of intent pursuant to Rules 2.7(c)(iv) and 24.2 of the Code (the "Published Intentions").
On 4 July 2019, pursuant to Rule 19.6(b) of the Code, the Company announced that it had taken a different course of action from the Published Intentions (the "Revised Intentions").
The Company confirms, in accordance with the requirements of Rule 19.6(c) of the Code, that its board of directors has duly confirmed in writing to The Panel on Takeovers and Mergers that the Company has complied with the Published Intentions and Revised Intentions as appropriate.
