Nokia's share capital increased in connection with
the acquisition of Network Alchemy, Inc.
A total of 1,527,935 Nokia shares with the nominal value of EUR
0.24 were subscribed for after the previous increase in the share
capital were registered on February 7, 2000. The share
subscriptions relate to the decision by the Board of Directors of
Nokia taken on the basis of the authorization given by the Annual
General Meeting on March 17, 1999, and to the acquisition of
Network Alchemy, Inc. According to the acquisition agreement, a
part of the acquisition price is paid in Nokia shares.
The corresponding increase in the share capital, EUR 366,704.40,
was registered in the Finnish Trade Register on March 14, 2000. As
a result, the share capital of Nokia currently is EUR
279,654,524.64 and the total number of shares is 1,165,227,261.
Nokia received as additional shareholders' equity EUR
305,055,737.00.
The holders of the new shares are not entitled to dividend
distributable out of profits of 1999. Nokia has filed an
application for listing of the new shares at the Helsinki
Exchanges together with the other listed shares and the other
shares subscribed for in 1999 as of March 29, 2000. Listing of the
shares will also be applied for at the Frankfurt, London, New
York, Paris and Stockholm Stock Exchanges.
