Nokia's share capital increased in connection with the acquisition
of Amber Networks, Inc.
A total of 18,329,212 Nokia shares with the par value of EUR 0.06
were subscribed for after the previous increase in the share
capital was registered on August 17, 2001. The share subscriptions
relate to the decision by the Board of Directors of Nokia taken on
the basis of the authorization given by the Annual General Meeting
on March 21, 2001, and to the acquisition of Amber Networks, Inc.
According to the acquisition agreement, a part of the acquisition
price is paid in Nokia shares.
The corresponding increase in the share capital, EUR 1,099,752.72,
was registered in the Finnish Trade Register on September 3, 2001.
As a result, the share capital of Nokia currently is
EUR 283,091,503.50 and the total number of shares is
4,718,191,725. Nokia received as additional shareholders' equity
EUR 380,716,062.45.
Nokia has filed an application for listing of the new shares on
the Helsinki Exchanges together with the other listed shares as of
September 4, 2001. Listing of the shares will also be applied for
at the New York, Frankfurt, London, Paris and Stockholm Stock
Exchanges later this year.
