                             Director Shareholding


The Board of Northamber plc received notification yesterday that Mr Henry
Matthews, Managing Director of the Company, exercised options over 261,400
shares of 5 pence each on 15th November 2002 at an exercise price of 10 pence
per share.

As a result of the exercise of these options, Mr Matthews now holds 1,004,724
ordinary shares in the Company, which represents approximately 3.07% of the
enlarged issued ordinary share capital.

Application is being made for the 261,400 new ordinary shares to be listed on
the Official List of the UKLA and to trading on the London Stock Exchange. It is
expected that admission and trading will occur on Monday 25th November 2002.
