TOP-UP SHARE OFFER UPDATE

Northern 3 VCT PLC ("the Company") announces that the top-up offer of new ordinary shares to raise up to £1,600,000 (before expenses) in the 2011/12 tax year which was launched on 23 March 2012 ("the Offer") is now fully subscribed and no further applications will be accepted.

As previously announced, 1,616,161 new ordinary shares have been allotted by the Company pursuant to the Offer at a price of 99p per share with total subscription proceeds of £1,599,999.
