NORTHERN VENTURE TRUST PLC
Northern Venture Trust PLC announces that it has agreed to dispose of part of
its investments in BioFocus plc and IndigoVision plc.
BioFocus plc announced on 20 July 2000 that it intends to raise £4.4 million
by way of a placing and open offer of new ordinary shares at 290p per share,
capitalising the company at £22.2 million. The company has applied for the
whole of its ordinary share capital to be admitted to trading on the
Alternative Investment Market and dealings in the shares are expected to
commence on 21 August 2000. Northern Venture Trust PLC has agreed to sell
250,000 shares to placees at the issue price and has further agreed not to
take up its entitlement to subscribe for new shares under the open offer.
Northern Venture Trust PLC will retain a holding of 634,558 shares
representing 8.3% of the enlarged capital.
IndigoVision plc announced on 24 July 2000 that it intends to raise £36.1
million by way of a placing of new ordinary shares at 190p per share,
capitalising the company at £130 million. The company has applied for the
whole of its ordinary share capital to be admitted to the Official List and to
trading on the main market of the London Stock Exchange and dealings in the
shares are expected to commence on 2 August 2000. Northern Venture Trust PLC
has agreed to sell 1,429,806 shares at the placing price and will retain a
holding of 2,398,374 shares representing 3.5% of the enlarged capital.
The directors of Northern Venture Trust PLC estimate that on the basis of the
current value of the company's investments in BioFocus plc and IndigoVision
plc as implied by the respective issue/placing prices reported above, the
company's reported net asset value per share of 105.7p as at 31 March 2000
would have been increased by approximately 16.2p.
