Director Shareholding


NWF Group plc announces that it was informed today that Mr. Michael D.Cookson,
sold 8,000 ordinary shares of 25p each in the Company (0.1% of the issued
shares) at a price of 264p per share on 19th of February 2002. This sale reduces
Mr. Cookson's total shareholding in the Company to 103,212 shares (1.3% of the
issued shares).


Michael Cookson retires from the Company next month after 22 years service.
