b)	Nature of the transaction	As described on page 238 of the prospectus issued by the Company on 6 July 2010, on 22 June 2010 Neill Abrams entered into three contracts each for the transfer of 100,000 Shares held in his name to his wife, as bare trustee for each of his three children, in consideration of £100 and 97 per cent. of the market value of the Ordinary Shares on completion. As previously reported on 11 May 2016, the completion date was agreed to be 30 June 2019 or such other date as the parties may agree. The contracts completed on 30 June 2019.
