Orad Hi-Tec Systems 09 December 2005 Orad Hi-Tec Systems Limited (the 'Company') Directors' Shareholdings and Board Changes On 8 December, 2005, Avi Sharir, CEO and director, purchased 837,000 ordinary shares of NIS 0.01 each at a price of EUR 0.60, representing 7.8 per cent of the issued share capital of the Company. The vendor was Ormat Industries Limited ('Ormat'), a company in which Lucien Yehuda Bronicki, chairman of Orad is an interested party. Ormat has disposed of its entire holding in the Company of 1,706,422, representing 15.8 per cent of the Company. Mr Bronicki has stood down as chairman of Orad and the Company will appoint a new Chairman in due course. The balance of Ormat's holding was purchased by Mr Daniel Furman, 837,000 shares representing 7.8 per cent and 32,422 shares by Mr Nir Halperin who is Avi Sharir's son in law. Following this purchase, Avi Sharir holds 2,143,238 ordinary shares in the Company representing 19.9 per cent of the issued share capital.
